End-user licence agreement for the AgenticCutter app
1. Subject Matter and Relationship to the Terms and Conditions
These Licence Terms (EULA, End User License Agreement) govern your right to use the AgenticCutter software (the "Software"). The Software is provided by Bernhard Götzendorfer, sole proprietor (Einzelunternehmer), Rittingergasse 15/11, 1210 Vienna, Austria. AgenticCutter is a native macOS application distributed exclusively through direct sale on agentic-cutter.com. It is not distributed through the Mac App Store.
This EULA governs only the use of the Software after a licence has been purchased. The terms of the purchase itself, including pricing, payment processing, contract formation and refunds, are set out in the Terms and Conditions at /en/agb. In case of conflict regarding the purchase process, the Terms and Conditions prevail; in case of conflict regarding the use of the Software, this EULA prevails.
2. Licence Grant
Upon purchasing a licence, I grant you a simple, non-exclusive, non-transferable right to use the Software, limited to the number of devices set out in § 4.
For a subscription, billed monthly or yearly, the right of use applies for the duration of the current, paid subscription period and ends automatically when that period expires, unless you renew the subscription beforehand.
For a one-time purchase, the right of use is granted for an unlimited period. It continues regardless of whether the Software is later discontinued or further developed (see § 8).
3. Usage Restrictions
You may not reverse engineer, decompile, or disassemble the Software. This does not affect the mandatory statutory interoperability rights under § 40b UrhG (Austrian Copyright Act): where the law expressly permits decompilation to achieve interoperability with an independently created computer program, that permission also applies under this EULA.
You may not distribute, sublicense, or resell the Software to third parties. Copyright notices, trademarks, and other proprietary notices on the Software may not be removed or altered. Any use of the Software for unlawful purposes is prohibited.
4. Number of Devices, Activation, and Self-Management
During the trial period (§ 5) you may activate the Software on one (1) device. With a paid licence, subscription or one-time purchase, you may activate the Software on up to three (3) devices at the same time.
Activation is based on a unique hardware identifier of your Mac (technically: IOPlatformUUID) that binds your licence to that specific device. You may release any activated device yourself, at any time and without my involvement, directly within the app, which frees up an activation slot again; this self-service device management is available to you from an already activated device. Reinstalling the Software and switching to a new device are expressly permitted, as long as the total number of simultaneously activated devices does not exceed the applicable limit.
5. Trial Period
You may try the Software free of charge for seven (7) days before purchase. The trial is tied to one e-mail address and may be activated on one (1) device. No payment details are required to start the trial, and no payment obligation arises automatically once the seven days have passed.
The trial ends automatically after the seven days, without any need for you to cancel it. After the trial ends, all further processing of your projects is locked, in particular transcription, cut proposal, cut decision, rendering, and export. Project data and transcripts you already created remain readable and become fully available again after a later purchase.
6. Local Processing
Transcription and cutting of your video material take place locally on your device by default. Your video material is not uploaded to servers operated by me or by third parties for this purpose. This commitment applies without limitation to the Software's core functions, transcription and mechanical cut decisions, for as long as you do not select an external provider within the meaning of § 7.
If you select an external provider for the optional AI-assisted pause assessment described there, individual still frames extracted from your video material, not the video material itself and not its audio track, are transmitted to that provider for assessment. Without such a selection, no image, audio, or video material leaves your device. § 7 governs the details.
7. Optional External AI Services
You may optionally configure external third-party AI services within the Software, for example for image generation, extended language models, or the AI-assisted assessment of individual still frames extracted from your video material during the cut decision. This feature is strictly opt-in and disabled by default; without your selection, processing stays local (§ 6).
If you select an external provider for pause assessment, individual still frames, not the video material itself and not its audio track, are transmitted to that provider. This also applies when using automatic cut creation (Auto-Cut) if you have selected an external provider for it and have not disabled frame assessment in the settings.
To use an external AI service, depending on the provider, you either provide your own access credentials (API key) or use an existing login of that provider's command-line tool, for example Claude or Codex, for which no separate key is stored in the app. If you store an API key in the app, it is saved in your Mac's Keychain; a key may alternatively be supplied via a local environment variable or configuration file on your device. In every case, the key is transmitted only to the provider you selected, when making a request, never to me. Use of these services is additionally subject to that provider's own terms. If you submit third-party material, for example recordings of other people, to an external provider through this feature, you alone are responsible for having the right to do so.
8. Updates
For digital services provided for a fee, the statutory update obligation under § 7 VGG (Austrian Consumer Guarantee Act) applies: I provide the updates necessary to keep the Software free of defects for the duration of the agreed provision period.
In addition, for the first one hundred (100) buyers of a one-time purchase, I make the voluntary commitment that all future updates to the Software are included in the purchase price, at no extra cost. This commitment applies only to one-time purchases within this quota of one hundred licences, not to subscriptions, for which updates are already included for the duration of the active subscription period.
Should I discontinue distribution or further development of the Software, an already purchased, paid licence remains usable with the feature set last delivered. In that case there is no further entitlement to future updates, without prejudice to the statutory update obligation described in paragraph 1 for as long as a provision period is ongoing.
9. Intellectual Property
All rights in the Software itself, including its source code, design, and the AgenticCutter brand, remain with the provider. This EULA does not grant you any ownership of the Software, only the right of use described in § 2.
All rights in the video material you process with the Software remain entirely with you. I claim no rights whatsoever to your video material. You are solely responsible for holding the necessary personality and copyright rights to the material you process.
10. Third-Party Components
The Software contains third-party open-source components, including ffmpeg. The respective licence terms of these components continue to apply in addition to this EULA and are neither replaced nor limited by it. An overview of the included components together with their licence details and a reference to the respective licence text is bundled with the application as a text file and can be viewed within the application package.
11. Warranty
The Software is subject to the statutory warranty under Austrian law (ABGB, VGG). In the event of a defect, I am first entitled to remedy it by repair or replacement, if this fails twice, you may demand a price reduction or, for a one-time purchase, rescission of the contract.
A subscription constitutes a continuously provided digital service: the warranty applies for the entire provision period, meaning the duration of the current subscription. A one-time purchase constitutes a single provision of the Software, the general statutory warranty periods apply here, beginning with that provision.
12. Liability
I am liable without limitation under the statutory provisions for damages caused by intent or gross negligence. Liability for damage to property or financial loss caused by slight negligence is excluded towards businesses to the extent legally permissible, statutory liability towards consumers remains unaffected.
No liability is accepted for the results of optional external AI services (§ 7), as these are outside my sphere of influence. Because any video editing carries a residual risk of unintended data loss, I strongly recommend that you back up your source material before editing.
13. Termination of the Licence
I may terminate your licence only for specifically named instances of misuse, in particular the disclosure of your licence key to third parties or a deliberate circumvention of the device limit set out in § 4. Termination generally takes place only after a prior warning and only to the extent it is proportionate when weighing both parties' interests.
Termination of the licence does not affect video files and project data stored locally on your device, these remain in your possession in any case.
14. Governing Law and Jurisdiction
This EULA is governed by Austrian law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, this choice of law applies only to the extent that it does not deprive them of the protection afforded by mandatory provisions of the law of the country in which they have their habitual residence. For disputes with consumers, the statutory consumer place of jurisdiction remains unaffected. For jurisdiction over disputes with businesses and for out-of-court dispute resolution under § 19 AStG (Austrian Alternative Dispute Resolution Act), see § 17 of the Terms and Conditions (/en/agb), which applies in addition.
